1. Enforceability of these terms and conditions
In accordance with Article L441-6 of the French Commercial Code, these General Terms and Conditions govern relations between Segepo Académie (hereinafter referred to as “the Training Organization”) and its customers. They take precedence over any other document, in particular any general terms and conditions of purchase of the Customer, unless expressly agreed otherwise in writing by both parties.
Validation of a registration or signature of a training agreement implies unreserved acceptance of these GTS.
2. Registration and Orders
2.1 How to register
All requests for training must be accompanied by a written order or registration (letter, e-mail), specifying the services required (type of training, duration, number of participants). Registration will be confirmed upon acceptance by Segepo Académie.
2.2 Modification or cancellation of registration
Changes or cancellations requested by the customer must be made in writing and will only be effective after agreement from the Training Organization:
– In the event of cancellation less than 10 working days before the start of the course, a fee equivalent to 50% of the total cost of the course will be charged.
– In the event of cancellation less than 5 working days before the start of the course, the full cost of the course will be charged.
2.3 Force majeure
In the event of force majeure (serious illness, accident, force majeure as defined in article 6), the parties agree to postpone the service to a later date at no extra charge.
3. Training organization
3.1 Terms and conditions
Training courses take place in accordance with a program defined in the agreement or quotation signed between the parties. Training times and locations are specified in the contractual document. Segepo Académie reserves the right to adapt the content to the needs expressed by participants.
3.2 Equipment and logistics
The equipment required for training (classrooms, teaching aids, specific materials) is supplied by Segepo Académie, unless otherwise specified in the order. The customer may be asked to provide certain elements (files, internal data) to personalize the training.
4. Rates and payment
4.1 Price list
Training prices are expressed in euros, exclusive of tax, and include teaching and administrative costs, unless otherwise stipulated. Travel and accommodation expenses are at the customer’s expense.
4.2 Terms of payment
Payment must be made in accordance with the terms defined in the agreement or quotation, no later than 30 days after receipt of the invoice. Any delay will incur penalties in accordance with article L441-10 of the French Commercial Code.
4.3 Late payment
In the event of late payment, penalties equal to the ECB refinancing rate plus 10 percentage points will be applied, as well as a fixed indemnity of 40 euros for collection costs.
5. Liability and insurance
5.1 Responsibility
The Training Organization is bound by an obligation of means and not of result. It cannot be held responsible in the event of participants’ inaptitude or failure to use the knowledge acquired after training.
5.2 Participant insurance
The customer is responsible for insuring participants against any incident occurring during travel or training.
6. Force majeure
In the event of the occurrence of an unforeseeable, irresistible and external event (force majeure) making it impossible to perform the service, the obligations of the parties will be suspended. If the impediment exceeds 30 days, either party may terminate the contract without compensation.
7. Confidentiality and intellectual property
7.1 Privacy policy
Information exchanged between the parties in the course of training is strictly confidential.
7.2 Intellectual property
Teaching aids, content and methodologies used during training courses remain the exclusive property of Segepo Académie. Any reproduction or distribution is forbidden without written authorization.
The contract is governed solely by French law.
